Constitution
Adopted this 1st Day of October 2003 and revoking any previous adopted constitution
A NAME The name of the Association is the Llysworney Community Association.
B ADMINISTRATION Subject to the matters set out below the Community Association and its property shall be administered and managed in accordance with this constitution by the members of the Committee as defined in Clause E of this constitution.
C OBJECTS The Association is established to:-
Promote and organise social events to benefit the inhabitants of Llysworney.
Support the local community and improve the quality of village life.
Raise funds and to invite and receive contributions by an lawful method providing that the Association may not engage in any form of permanent trading.
Where possible protect and enhance the environment and diversity of the community.
D MEMBERSHIP Membership of the Association shall be open to individuals who reside or carry on business activities in the village of Llysworney who are over 18 years of age.
E COMMITTEE The general management and administration of the Association shall be directed by the Committee which shall meet not less than 6 times a year and shall consist of not less than 6 and not more than 15 members of the Association elected at an Annual General Meeting.
The members shall elect from amongst themselves a chairperson, a secretary and a treasurer together with not less than 3 committee members who shall hold office for not less than 1 year and not more than 3 years.
Nominations for members of the Committee shall be made in writing not less than 7 days before the Annual General Meeting.
The Committee may appoint subcommittees, advisory groups or working parties from time to time to assist in carrying out their work. All such subcommittees shall make regular reports on their work to the Committee.
The Committee may make such regulations as its members consider appropriate for the efficient conduct of the Association.
All meetings of the Association and any of its subcommittees shall be presided over by its chairperson or in their absence a Committee member duly nominated by the chairperson.
Minutes of each meeting shall be taken by the secretary or in their absence a Committee member duly nominated, and minutes distributed to all attendees and Committee members.
F FINANCE All monies raised by or on behalf of the Association shall be applied to further the objects of the Association.
The treasurer shall maintain proper accounts of the finances of the Association and an audited statement of accounts for the preceding financial year shall be submitted to the Annual General Meeting.
A bank account shall be opened in the name of the Association with such a bank as the Committee shall from time to time decide.
The Committee shall authorise the Chairperson, Treasurer and two Committee members to sign cheques on behalf of the Association.
All cheques shall be signed by two authorised signatories.
G ANNUAL GENERAL MEETING There shall be an Annual General Meeting of the Association which shall be held each calendar year.
The secretary shall give not less than 28 days notice of the Annual General Meeting to all its members of the Association.
The Chairperson and the Treasurer shall present a report and the accounts of the Association for the preceding year.
In addition the Agenda shall include the following:
1. The election of members to serve on the Committee.
2. The transaction of such other matters as may be from time to time considered necessary.
H SPECIAL GENERAL MEETING The Committee may call a special general meeting of the Association at any time.
If at least 12 members request such a meeting in writing stating the business to be considered the Chairperson shall call such a meeting.
Not less than 14 days notice shall be given for any special general meeting.
I ALTERATIONS TO THE CONSTITUTION The constitution may be altered by a resolution passed by not less than two thirds of the members present and voting at a general meeting. The notice of the general meeting must include notice of the resolution setting out the terms of the alteration proposed.
J DISSOLUTION If the Committee by a simple majority decides at any time that it is advisable or necessary to dissolve the Association they shall call a meeting of the members of the Association.
If such a decision shall be confirmed by a simple majority of those present and voting the Committee shall have power to dispose of any assets held in the name of the Association.
Any assets remaining after the satisfaction of any proper debts and liabilities shall be given or transferred to other such organisations having objects similar to the objects of the Association as the Committee may decide.
K INDEMNITY The Association shall indemnify and keep indemnified every officer, member, volunteer and employee of the Association from and against all claims, demands, actions and proceedings together with all costs and expenses in connection therewith, made or brought against the Association in connection with its activities. This indemnity shall not extend to liabilities arising from willful and individual fraud, wrongdoing or wrongful omission on the part of the officer, member, volunteer or employee.
The Committee shall effect a policy of insurance in respect of this indemnity at all times.
